A Limited liability partnership (LLP) combines the flexibility of a general partnership with the limited liability of a limited company. It can be set up by two or more members – either a person or a company – who jointly own and control the business. The personal assets of the partners are protected and their liability is limited to the amount they have invested in the business and any personal guarantees given when raising loans.
A Company Limited by Guarantee (CLG) is similar to a standard limited company with the major difference being that it has guarantors instead of shareholders. It is primarily used for non-profit activities since it is not permitted to disburse any dividends.
